Selling your agency to Brokers Alliance

Brokers Alliance is a family owned, independently owned life and annuity distributor that acquires insurance agencies. In both agencies it acquired, the owners came onto the payroll and stayed, and staff who came across with the business are still here today. Joe Racich founded the firm in 1982. His son David Racich acquired it from him in 2009 and has owned and led it since. There is no fund behind it, no aggregator and no holding company.

Brokers Alliance has acquired a brokerage general agency twice, in 2008 and in 2010. In each case the selling owner became an officer of Brokers Alliance on the day the deal closed, and stayed on the payroll. One of those transactions brought a staff member across who is still with the firm sixteen years later.

What follows is what happened in those deals, said plainly. The two questions every selling owner asks first are what happens to my people and what happens to my agents, and both deserve an answer in writing before you ever pick up the phone.

Nobody was cut to make the numbers work. The people who wanted to keep doing the job kept doing the job.

Sixteen years later, one of them is still here

A staff member who came across with one of the acquired agencies is still on the Brokers Alliance payroll today, in the same discipline she was in before the deal. We measure retention in years rather than in day-one promises.

This is our history. Any guarantee you want belongs in your written purchase agreement. Every deal is its own negotiation and its own agreement, and anything that matters to you belongs in that agreement in writing.

Your agents signed with you, not with us. That was the starting point every time.

The brand was kept, every time

The name stayed. Brokers Alliance already runs its own platforms under partner brands, so operating a business under someone else's name is not an exception here, it is how the company is built.

Agents kept their hierarchy

The downline stayed where it was. Hierarchy protection has been the standing practice at Brokers Alliance for more than forty years ... what you build does not get pulled back as you grow.

Agents kept their compensation

Comp was not reset as a condition of the deal. The agent who was writing business on Friday was on the same terms on Monday.

The business was added to, not rebuilt

The point of buying an agency is the agency. Carrier access, contracting, case management, commissions and the technology get layered on top of what already works.

We do not want to disrupt their current business, only add more tools, resources, tech, marketing to grow it.

The software is not licensed from anyone. Brokers Alliance writes and maintains MyAdvisorCloud, MyAdvisorGrids, RetirementBrain and LifeBrain with its own engineers, so it is adapted to your book rather than your agents being asked to change how they work.

03 · WHAT OWNERSHIP CHANGES

What family owned and independent actually changes.

Three structural differences you can verify:

There is no fund clock

A private-equity fund is raised with a defined life and is expected to return capital to the investors who funded it, commonly described as a five to seven year horizon, and that return normally comes from selling what the fund bought. Brokers Alliance has no fund behind it, so there is no scheduled event that hands your agency to a third owner a few years after you sold it to the second one.

The person across the table owns the company

David Racich has owned Brokers Alliance since 2009. He is the person you negotiate with and he is the person still running it afterward. The signature and the accountability sit in the same place, which is the whole reason the record in sections one and two exists to be checked.

There is no investment committee

Brokers Alliance is not part of an aggregator, a holding company or a private-equity platform. A decision about your agency is made by the owner of this company. It does not travel to a committee that has never met you, your staff or your agents.

What is already true of the business, and worth knowing before you write: Brokers Alliance distributes life insurance, annuities, final expense, long term care, disability and Medicare Supplement. The one line it does not write is property and casualty. It works with agents, with agencies, and with other IMOs, FMOs and BGAs.

There is a qualification step first, and that is deliberate.

  1. You send four things

    Product mix, approximate size, timeline, and why you are exploring. That is the form below. It is enough for us to tell you honestly whether there is something here.

  2. We read it and come back to you

    A person reads it, not a scoring rule.

  3. If there is a fit, you talk to David

    Owner to owner, directly. You speak with David once both sides agree the basics fit on this page. It is not a screen you have to get past. It is the part that decides the deal, and it is worth arriving at it with the basics already understood on both sides.

  4. Confidentiality

    What you send through this form does not enter the Brokers Alliance sales system. It is not written to the CRM as a lead, it is not assigned to a recruiter, and it does not go into any dialer. It is delivered to two people, the owner and the Chief Investment Officer, and it is stored separately from everything the sales floor can see. Nobody on the recruiting side is notified that you wrote in.

    This form bypasses the CRM entirely. Every other form on this website posts to the same intake that assigns a new agent to a representative and starts a call. This one deliberately does not.

What happens to my employees?

In the agencies Brokers Alliance acquired, all staff stayed who wanted to stay, and at twenty-four months past closing the headcount was still there. That is the record. It is not a term of any future agreement, and what happens in your deal belongs in your deal documents.

Do you keep my agency's name?

The brand was kept, every time. Brokers Alliance already operates its platforms under partner brands, so running a business under a name other than its own is normal here rather than an exception.

What happens to my agents' hierarchy and compensation?

Agents kept their hierarchy and they kept their comp. Hierarchy protection has been the standing practice at Brokers Alliance for more than forty years, meaning the downline an agent builds does not get pulled back as they grow. In the owner's words, the intent is not to disrupt the current business, only to add more tools, resources, technology and marketing to grow it.

Who actually owns Brokers Alliance?

David Racich. His father Joe Racich founded the firm in 1982, and David acquired it from him in 2009 and has owned and led it since. Brokers Alliance is a second generation, family owned business and is not part of an aggregator, a holding company or a private-equity platform.

Will you turn around and sell my agency to someone else?

There is no fund behind Brokers Alliance, so there is no fund life cycle creating a scheduled reason to sell. A private-equity fund is raised with a defined life and is expected to return capital to its investors, and that return normally comes from a further sale. An owner-operated family company does not carry that clock.

Do I get to talk to David directly?

Yes, once there is a fit. The qualification step comes first on purpose, so that the owner-to-owner conversation is about the deal rather than about the basics. That conversation is the closing move, not the opening one.

What do I plug into after closing?
