Brokers Alliance®, Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Brokers Alliance®, Inc. with respect to the subject matter of this Agreement and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding that subject matter. Any waive of any provision of this Agreement will be effective only if in writing and signed by Brokers Alliance®, Inc.
